This Agreement governs the terms under which GunTab acts as your limited payment collection agent. This Agreement supplements the GunTab Terms of Service, which all users must accept. In the event of any conflict between this Agreement and the Terms of Service, this Agreement shall control with respect to the subject matter hereof.

BY ACCEPTING THIS AGREEMENT, YOU EXPRESSLY APPOINT GUNTAB AS YOUR LIMITED PAYMENT COLLECTION AGENT FOR THE PURPOSE OF ACCEPTING PAYMENTS FROM BUYERS ON YOUR BEHALF. Please read this Agreement carefully, as it affects your legal rights and obligations.

Definitions
1. Definitions.

Capitalized terms used in this Agreement have the meanings set forth below, or as defined elsewhere in this Agreement or the Terms of Service.

1. "Disbursement" means GunTab's remittance of funds it has received on Seller's behalf to Seller's designated Funds Account(s), less applicable fees, in accordance with the terms of this Agreement.
2. "Disbursement Conditions" means the conditions set forth in the "Disbursement Conditions and Process" section of this Agreement that must be satisfied before GunTab will initiate Disbursement.

1. Agency Appointment.
   Seller hereby appoints GunTab as Seller's limited agent solely for the purpose of: (a) accepting and processing Payments from Buyers on behalf of Seller; (b) settling such funds to Seller's designated Funds Account(s) in accordance with this Agreement; (c) communicating with Seller's Firearm Dealer, Seller's shipment carrier, Buyer's Firearm Dealer, or any other parties ancillary to a Transaction; and (d) investigating and resolving disputes filed by Buyer or Seller. GunTab accepts this appointment and agrees to act as Seller's limited payment collection agent subject to the terms and conditions of this Agreement. To the extent necessary, Seller shall disclose, confirm, or otherwise hold out to Buyer or prospective Buyers that GunTab acts as Seller's payment collection agent when appropriate.
2. Payment Completion.
   A Buyer's payment obligation to Seller for a Transaction is satisfied at the time GunTab receives the Buyer's Payment on Seller's behalf. Upon GunTab's receipt of a Payment from a Buyer, the Buyer's underlying obligation to pay Seller for the applicable Merchandise is extinguished, and Seller agrees to fulfill the Transaction as if Seller had received the Payment directly from the Buyer. Seller's sole recourse for receiving Disbursement of such funds is against GunTab, not against the Buyer (except as otherwise provided in this Agreement with respect to Chargebacks).
3. Scope of Agency.
   The agency created by this Agreement is limited strictly to the purposes described in the "Agency Appointment" section. This Agreement does not create a general agency, partnership, joint venture, trust, escrow, or fiduciary relationship between GunTab and Seller. GunTab's obligations as Seller's agent are limited to those expressly set forth in this Agreement. GunTab does not act as an escrow agent and does not hold funds in escrow. GunTab does not owe Seller any fiduciary duties except as expressly set forth herein.
4. Relationship to Buyers.
   GunTab provides services to Buyers under the Terms of Service only as an agent of Sellers. GunTab's appointment as Seller's limited payment collection agent does not make GunTab the agent of any Buyer, nor does it create any fiduciary, trust, or escrow obligation running from GunTab to any Buyer.
Funds Held on Seller's Behalf
3. Funds Held on Seller's Behalf.
1. Settling of Funds.
   GunTab will temporarily settle all funds received from Buyers on Seller's behalf in one or more pooled accounts at one or more financial institutions. GunTab holds these funds for Seller's benefit, subject to the "Disbursement Conditions and Process".
2. No Escrow.
   Funds held by GunTab under this Agreement are not held in escrow. Funds in GunTab's possession under this Agreement shall be held exclusively for Seller's benefit. GunTab's obligation is to settle these funds to Seller in accordance with this Agreement, not to hold them as a neutral escrow agent. Buyer shall have no claim to such funds.
Disbursement Conditions and Process

1. Disbursement Conditions.
   Seller directs GunTab to hold funds received on Seller's behalf and to initiate Disbursement to Seller's designated Funds Account(s) only after all of the following conditions have been satisfied:
   1. The Merchandise has been shipped by Seller in accordance with GunTab's instructions and this Agreement;
   2. Fulfillment of the Merchandise per the Instructions has been confirmed;
   3. The applicable Inspection Period has expired without the Buyer filing a dispute, or the dispute filed by the Buyer has been resolved or rejected;
   4. Where applicable, any required Background Check has been completed and the Firearm Dealer has confirmed the transfer of the Merchandise to the Buyer, or the parties have otherwise agreed to complete the Transaction;
   5. The Transaction does not appear to GunTab to violate any applicable law, regulation, or the Terms of Service; and
   6. No Chargeback, reversal, or other payment cancellation is pending with respect to the Transaction.
2. Seller's Direction to Hold.
   Seller acknowledges and agrees that the Disbursement Conditions set forth in "Disbursement Conditions" are Seller's own directions to GunTab regarding the handling of funds received on Seller's behalf. GunTab's holding of funds pending satisfaction of the Disbursement Conditions is at Seller's direction and in Seller's interest, not as a neutral third party or escrow agent.
3. Disbursement Timing.
   Once all Disbursement Conditions have been satisfied, GunTab will generally initiate Disbursement to Seller's designated Funds Account(s) within 24 hours. GunTab is not responsible for delays caused by Seller's financial institution or other circumstances beyond GunTab's reasonable control.
4. Disbursement Amount.
   The Disbursement amount will equal the Payment received from the Buyer, less GunTab's service fee as described in the Terms of Service, and any other amounts Seller owes to GunTab under this Agreement or the Terms of Service.

1. Seller's Pre-Authorization of Refunds.
   Seller authorizes and directs GunTab to issue refunds to Buyers from funds held on Seller's behalf under the following circumstances:
   1. Seller fails to ship the Merchandise within the time required by this Agreement and GunTab's instructions;
   2. A dispute is filed by the Buyer during the applicable Inspection Period and resolved in the Buyer's favor in accordance with the Terms of Service;
   3. The Buyer fails a Background Check or is otherwise unable to lawfully receive the Merchandise, and the Merchandise is returned to the Seller;
   4. The Transaction is cancelled in accordance with the Terms of Service; or
   5. GunTab determines, in good faith, that the Transaction violates applicable law or the Terms of Service.
2. Refunds at Seller's Direction.
   Seller acknowledges and agrees that refunds issued by GunTab under "Seller's Pre-Authorization of Refunds" are made pursuant to Seller's standing authorization and at Seller's direction. GunTab issues refunds in its capacity as Seller's limited payment collection agent, returning to the Buyer funds that GunTab received on Seller's behalf.
3. Insufficient Funds.
   If GunTab has already settled funds to Seller at the time a refund becomes due, or if the funds held on Seller's behalf are insufficient to cover a refund, Seller authorizes GunTab to debit Seller's Funds Account for the amount of the refund plus any applicable fees. Seller must maintain sufficient funds in Seller's designated Funds Account to cover potential refunds.

1. Seller Inspection Period.
   In the event of a return of Merchandise by Buyer to Seller, Seller's Inspection Period begins when GunTab notifies Seller that the Merchandise has been returned to the Seller, and ends 3 calendar days after it begins. Seller must notify GunTab of any dispute regarding the returned Merchandise during Seller's Inspection Period.
2. Acceptance Upon Expiration.
   Seller agrees that failure to notify GunTab of a dispute during Seller's Inspection Period will be interpreted as Seller's acceptance of the returned Merchandise and will authorize GunTab to issue a refund to the Buyer from funds held on Seller's behalf, and to debit applicable GunTab fees from Seller's Funds Account.

7. Disputes between Buyer and Seller
1. Dispute Resolution Authority.
   Seller grants GunTab the authority to investigate and resolve disputes between Buyer and Seller regarding Transactions, in accordance with the dispute resolution procedures set forth in the Terms of Service. Seller agrees to abide by GunTab's decisions regarding the disposition of funds held on Seller's behalf in connection with any dispute.
2. Limitation.
   GunTab's dispute resolution authority under this Section is limited to determining the disposition of funds held on Seller's behalf. GunTab does not act as an arbitrator and GunTab's dispute decisions do not preclude either party from pursuing any legal remedies available to them.
Representations and Warranties
8. Representations and Warranties
1. Seller represents and warrants that:
   1. Seller is lawfully capable of entering into this Agreement and has full authority to do so;
   2. Seller is lawfully permitted to own, possess, and ship the Merchandise described in each Transaction;
   3. All information Seller provides to GunTab is true, accurate, and complete;
   4. Seller will comply with all applicable laws, rules, and regulations in connection with each Transaction;
   5. Seller will accurately describe all Merchandise in each Invoice; and
   6. Seller's use of GunTab will not violate any agreement Seller has with any third party.
Term and Termination
9. Term and Termination
1. Term.
   This Agreement is effective when Seller first accepts it and continues until terminated by either party.
2. Termination by Seller.
   Seller may terminate this Agreement at any time by providing written notice to GunTab, provided that termination shall not affect Seller's obligations with respect to any Transactions that are in progress at the time of termination.
3. Termination by GunTab.
   GunTab may suspend or terminate this Agreement and Seller's use of the services at any time, with or without notice, in GunTab's sole discretion. GunTab will attempt to provide prior notice by email, but is not obligated to do so.
4. Effect of Termination.
   Upon termination, GunTab will complete processing of any Transactions that are in progress, settle any funds held on Seller's behalf (subject to the Disbursement Conditions), and deduct any amounts Seller owes to GunTab. Terms for "Payment Completion" "Funds Held on Seller's Behalf", "Refund Authorization", "Returns and Inspection", and "Disputes Between Buyer and Seller" shall survive termination.
Miscellaneous
10. Miscellaneous
1. Independent Contractor.
   Except for the limited agency relationship expressly created by Section 2 of this Agreement, GunTab and Seller are independent contractors. Nothing in this Agreement creates a partnership, joint venture, employment relationship, or general agency between the parties.
