GunTab Terms of Service

These Terms of Service ("Terms") constitute a contract between you ("User" or "you") and Lockeson Inc, doing business as GunTab ("GunTab," "we," "us," or "our"), a Delaware company that provides internet-based transaction management services through https://www.guntab.com ("Services"). These Terms govern your access to and use of the Services and apply to all Users, including Buyers and Sellers.

Sellers that use GunTab to receive payments from Buyers are also subject to the GunTab Seller Agreement, which governs GunTab's role as the Seller's limited payment collection agent. In the event of any conflict between these Terms and the Seller Agreement, the Seller Agreement shall control with respect to the subject matter of the Seller Agreement.

IT IS IMPORTANT THAT ALL USERS READ AND UNDERSTAND THESE TERMS. THEY EXIST FOR USERS' PROTECTION.

    1. "Background Check" means the National Instant Criminal Background Check System background check mandated pursuant to 18 U.S. Code § 922(t) et seq. for acquisition of a firearm.
    2. "Buyer" means a User who purchases or agrees to purchase Merchandise from a Seller through a Transaction.
    3. "Chargeback" means any effort by a User to cancel or reverse a transfer of funds authorized under these Terms, including the filing of a dispute with a financial institution, card network, or payment processor.
    4. "Firearm Dealer" means any holder of a valid Federal Firearms License (FFL). Firearm Dealers are the only entities authorized to receive Merchandise fulfilled pursuant to these Terms that requires transfer through a Firearm Dealer. Each Firearm Dealer will retain the Merchandise until any applicable Background Check has been completed and the Merchandise can be lawfully transferred to the Buyer.
    5. "Funds Account" means any bank account, credit card, or other payment instrument that a User registers with GunTab from which GunTab may debit and/or to which GunTab may credit funds pursuant to these Terms. Any Funds Account must originate from a Bank Secrecy Act ("BSA") regulated institution. Funds Accounts originating from non-BSA regulated institutions are not considered valid accounts and their use shall constitute a material breach of these Terms.
    6. "Inspection Period" means the limited duration following delivery or pickup availability of Merchandise during which the receiving party may file a dispute.
    7. "Instructions" means any communication from GunTab requesting action from a party to a Transaction.
    8. "Invoice" means a GunTab instrument, created by the Seller or on behalf of the Seller, that specifies the terms of the Transaction, including the Merchandise being purchased, the amount being paid for the Merchandise, shipping, sales tax, and fees, and any other relevant details. A Transaction is initiated when a Buyer accepts an Invoice.
    9. "Merchandise" means the firearm(s), ammunition, or other good(s) for which the Buyer is paying the Seller through a Transaction.
    10. "Payment" means a Buyer's remittance of funds to GunTab in connection with a Transaction, which pays for the Merchandise, shipping, sales tax, fees, etc.
    11. "Payment Confirmation Page" means the webpage displayed on GunTab where both Buyer selects their Funds Account, confirms their final Payment total, and agrees to proceed with the Transaction.
    12. "Seller" means a User who sells or agrees to sell Merchandise to a Buyer through a Transaction.
    13. "Seller Agreement" means the separate agreement between GunTab and Seller that governs GunTab's role as the Seller's limited payment collection agent.
    14. "Settlement" means GunTab's remittance of funds to Seller's designated Funds Account, less applicable fees, in accordance with the Seller Agreement.
    15. "Transaction" means the purchase of lawfully owned Merchandise, by a Buyer who may lawfully purchase and receive the Merchandise within the jurisdiction of the Buyer's residence and receipt, from a Seller who may lawfully sell and convey the Merchandise, pursuant to these Terms and any collateral agreement executed concurrently through GunTab.
    16. "User" means any party that accesses any part of GunTab to participate in an Invoice or a Transaction, including any Buyer, Seller, Firearm Dealer, and any agent duly appointed by GunTab to facilitate a Transaction.
    17. "User Data" means any User-specific information provided by the User, or collected or obtained by GunTab.
    Services and Eligibility
  2. Services and Eligibility
    1. Description of Services.
      GunTab's Services are internet-based transaction management services, including the coordination of shipment, transfer, and fulfillment of Merchandise, and the collection of Payments from Buyers on behalf of Sellers as each Seller's limited payment collection agent pursuant to the Seller Agreement. The Services are intended to facilitate the completion of Transactions under these Terms.
    2. No Escrow; No Fiduciary Relationship.
      GunTab does not act as an escrow agent. GunTab does not hold funds in escrow. GunTab receives and processes Payments in its capacity as the Seller's limited payment collection agent pursuant to the Seller Agreement. Nothing in these Terms creates an escrow arrangement, trust, or general fiduciary relationship between GunTab and any User. GunTab's duties are limited to those expressly described in these Terms, the Seller Agreement, and the Instructions.
    3. Commencement.
      Services begin when a User accesses GunTab. Following a Buyer's acceptance of an Invoice, GunTab begins managing the resulting Transaction immediately.
    4. Jurisdiction.
      GunTab is a duly registered corporation in the State of Delaware. All parties to a Transaction agree that their agreement with GunTab has been formed and shall be executed within the State of Delaware and subject solely to the laws thereof. All parties hereby consent to the exclusive jurisdiction of the courts of the State of Delaware for the purposes of litigation or any other legal action arising from these Terms.
    5. Registration.
      Only registered Users may use the Services. In order to register as a User, an individual must supply all information requested by GunTab. Any attempts to enter misleading or false information shall constitute a material breach of these Terms and may constitute a crime.
    6. Additional Limitations.
      Applicable local, state, and federal laws and regulations may further limit the Services.
    Permitted Users

    1. Any party entering into these Terms must be a User as defined herein. A User must be, and hereby represents, warrants, and covenants that it is, lawfully capable of entering into these Terms, lawfully permitted to own a firearm in its resident jurisdiction, and be either:
      1. A natural person at least 21 years of age, of ordinary competence, and authorized to own and possess the Merchandise contracted for through the Services, or
      2. A company duly registered and authorized to use the Services and authorized to own and possess the Merchandise contracted for through the Services, or
      3. A trust whereby all parties to the trust (Trustee, Trustor, and beneficiary) are natural persons lawfully capable of entering into these Terms, as well as lawfully capable of owning and possessing the Merchandise contracted for through the Services.
    2. Agreement to Terms. In order to initiate and commence a Transaction, all Users to a Transaction must register at GunTab and agree to all Terms and Instructions. Sellers must additionally accept the Seller Agreement.

    1. Unlawful use. GunTab, in its sole discretion, may refuse to complete any Transaction that GunTab has reason to believe is unauthorized or made by someone other than the User, may violate any law, rule or regulation, or if GunTab has any other reasonable cause not to honor it.
    2. Right to refuse. GunTab, in its sole discretion, may refuse to complete any Transaction that GunTab has reason to believe is unauthorized or made by someone other than the User, may violate any law, regulation, or rule, or if GunTab has any other reasonable cause not to facilitate it.
    3. Indemnification for Prohibited Use. Users agree to indemnify, defend, and hold GunTab harmless for losses resulting from any use or attempted use of the Services in violation of these Terms or any applicable federal, state, or local laws. Each User agrees to indemnify and hold GunTab, its parent company, and any agents, officers, or employees thereof harmless for any harm suffered that is not within the scope of GunTab's duties under these Terms. This shall include any harm that results from the use of the Merchandise, or any additional costs to Users as a result of the purchase or sale of the Merchandise.
    4. Arms Control Compliance. Any attempts by any User to use GunTab in order to facilitate the transfer or grant possession of a firearm or any other restricted item to any party that is not party to these Terms, or not lawfully permitted to own the items contracted for under federal, state, or local laws, or who intends to transfer the items to any such person, including any person prohibited from owning any such items under 22 U.S.C. § 2778 of the Arms Export Control Act, Export Administration Regulations, the Commerce Control List, or any other end-user prohibited under federal, state, or local laws, shall be viewed as a criminal and civil issue and be reported to the appropriate authorities and prosecuted to the fullest extent of the law.
    How Transactions Work
  5. How Transactions Work
    1. Transaction Initiation.
      A Transaction is initiated when a Buyer and Seller both accept an Invoice through GunTab. The Invoice specifies the Merchandise to be fulfilled, the purchase price, and all other relevant details of the Transaction.
    2. Payment Collection.
      Upon initiation of a Transaction, the Buyer submits Payment to GunTab. GunTab receives the Buyer's Payment in its capacity as the Seller's limited payment collection agent under the Seller Agreement. Upon GunTab's receipt of the Buyer's Payment, the Buyer's obligation to pay the Seller for the Merchandise is satisfied. The Buyer's sole obligation with respect to payment is to remit funds to GunTab; once GunTab has received Payment in the amount specified by the Invoice, the Buyer has no further payment obligation to the Seller for that Transaction. Settlement of payments to Seller is governed by the Seller Agreement.
    3. Fulfillment.
      Following receipt of a Payment, GunTab provides the Seller with Instructions for fulfilling the Merchandise to the Buyer. For Merchandise that is fulfilled through a Firearm Dealer, the Buyer's chosen Firearm Dealer is responsible for receiving the Merchandise, conducting any required Background Check procedure, and transferring the Merchandise to the Buyer upon successful completion of all applicable legal requirements.
    4. Refunds.
      If a Transaction is cancelled or a dispute is resolved in the Buyer's favor, GunTab will issue a refund to the Buyer.
    General Obligations

    1. Users must provide current contact information to GunTab, and must update this information when it changes.
    2. Users must maintain adequate security and control of any and all login information used to access GunTab Services.
    3. Users must contact GunTab immediately if they have reason to believe there could be an error in a Transaction or an unauthorized use of a Funds Account or the Services.
    4. Users must be lawfully eligible to own and possess the Merchandise conveyed through a Transaction. Users must not propose or participate in any Transaction involving an item that would be illegal in the User's jurisdiction. It is the User's responsibility to be familiar with the laws applicable in their jurisdiction.
    5. Users authorize GunTab and its authorized agents to initiate both credit and debit funds transfers to their designated Funds Account(s) as necessary to satisfy the terms of these Terms, and to correct any errors that may arise.
    6. Users must abide by GunTab's decisions regarding the disposition of funds in any dispute that may arise between the parties, subject to the dispute resolution provisions below.
    7. Users must not initiate Chargebacks, or otherwise interfere with any transfer of funds that is authorized under these Terms, and must instead notify GunTab of any concern so that GunTab may investigate. Users agree that cancellation, reversal, or issuance of a chargeback on any transfer of funds authorized under these Terms should be considered a wrongful Chargeback.
    8. In the event of any Chargeback or other interference with a transfer of funds authorized under these Terms, the User agrees to provide any and all reasonable documentation and assistance to GunTab for the purpose of proving the transfer of funds was lawful and authorized.
    Buyer Obligations
  7. Buyer Obligations
    1. Funds Account.
      Buyer must designate a Funds Account from which the purchase price and any other amounts related to the Transaction will be obtained by GunTab. Buyer must maintain sufficient funds in this account to satisfy the terms of the Invoice.
    2. Inspection Period.
      Buyer's Inspection Period begins when GunTab notifies Buyer that the Merchandise has been fulfilled to the Buyer, and ends 3 calendar days after it begins, unless extended by the Seller. Buyer must notify GunTab of any dispute during the Buyer's Inspection Period. Buyer must follow the procedures set forth by GunTab in the event of a dispute.
    3. Acceptance.
      Buyer agrees that failure to notify GunTab of a dispute during the Buyer's Inspection Period will be interpreted as the Buyer's acceptance of the Merchandise.
    4. Firearm Dealer Policies.
      Buyer must familiarize themselves with the policies of the Firearm Dealer that they have selected, including: willingness to accept shipments from non-FFLs, additional fees, waiting periods, local laws pertaining to the transfer and registration of firearms, and the point at which a firearm left unclaimed at the Firearm Dealer may be considered abandoned. If a waiting period is required by the Firearm Dealer, or state or local laws, the Merchandise may only be transferred from the Firearm Dealer to the Buyer after completion of such a waiting period.
    5. Failed Background Check.
      Buyer agrees that if their selected Firearm Dealer refuses to transfer the Merchandise to the Buyer (including due to a failed or delayed Background Check), the Buyer will not be eligible for any refund without first reimbursing all relevant expenses of GunTab and the Seller (including shipping costs, transfer fees, marketplace fees, and GunTab fees), and will only receive a refund of their Payment minus those expense reimbursements.

  9. In addition to the obligations set forth in the Seller Agreement, Sellers must comply with the following:

    1. Accurate Descriptions.
      Seller is solely responsible for accurately describing the Merchandise in each Invoice. Seller acknowledges that material misrepresentation of Merchandise may result in the Payment being partially or fully refunded to Buyer.
    2. Fulfillment.
      After receiving Instructions from GunTab, Seller must fulfill the Merchandise by shipping, dropping off, or making available for pickup, as dictated by the Invoice. After receiving Instructions from GunTab, the Seller must declare to GunTab fulfillment of the Merchandise. If shipping the Merchandise, the Seller must provide GunTab with the tracking number for the shipment.
    3. Failure to Fulfill.
      If the Seller fails to declare to GunTab fulfillment of the Merchandise within 3 calendar days of receiving the Instructions, GunTab may assume the Seller has become unable or unwilling to fulfill the Merchandise, and may refund the Buyer upon Buyer's request. In that event, GunTab is authorized to refund the Payment to the Buyer from the funds held on Seller's behalf, pursuant to the Seller's standing authorization in the Seller Agreement. Seller's portion of GunTab's fees may be debited from the Seller's Funds Account.
    4. Tracking and Modifications.
      Seller grants GunTab permission to act as its agent in communicating with the shipping carrier regarding the status of a shipment, and in making requests to modify shipments so they may be successfully delivered to the Buyer or returned to the Seller.
    5. Fulfillment Damage.
      In the event that Merchandise is damaged during picking, packing, shipping, delivery, or any other stage of fulfillment, the Seller agrees to be financially responsible for the cost of either return shipping or a partial refund mutually agreed with the Buyer.
    Our Obligations

    1. Scope of Duties.
      GunTab is obligated to perform only those duties expressly described in these Terms, the Seller Agreement, and the Instructions. GunTab shall not be liable for any error in judgment, for any act taken or not taken, or for any mistake of fact or law, except for gross negligence or willful misconduct. GunTab may rely upon any notice, demand, request, letter, certificate, agreement, or any other document which purports to have been transmitted or signed by or on behalf of a User indicated as the sender or signatory thereof and shall have no duty to make any inquiry or investigation.
    2. Interest.
      Except as required by law, GunTab shall not place User funds in an interest-bearing account. To the extent GunTab is required by law or elects to hold funds in an interest-bearing or investment account, any earnings belong to GunTab.
    3. Uncertainty or Conflict.
      In the event that GunTab is uncertain as to its duties or rights under these Terms, receives any instruction or demand that in GunTab's opinion is in conflict with any provision of these Terms, or any dispute arises with respect to the funds GunTab holds, GunTab may:
      1. Consult with legal counsel, including staff attorneys or outside counsel. Users hereby consent to GunTab's action based upon the recommendations of legal counsel;
      2. Deposit funds with a court of competent jurisdiction through an interpleader action or similar proceeding;
      3. Give notice of GunTab's intent to cease facilitating the Transaction. Within five (5) days of providing any such notice, GunTab will reverse all fees associated with the Transaction. Following any such notice and the subsequent reversal of all charges, Users agree that GunTab has discharged all of its duties under these Terms with respect to that Transaction.
    Disputes
  11. Disputes
    1. Filing a Dispute.
      A party to a Transaction may file a dispute with GunTab during their Inspection Period if they believe the counterparty violated the terms of the Transaction. The right to dispute a Transaction expires at the end of the Inspection Period.
    2. Our Authority.
      Seller grants GunTab permission to act as its agent to investigate and resolve disputes between the parties of a Transaction with respect to the disposition of funds held by GunTab. GunTab's dispute resolution authority is limited to determining how funds held on the Seller's behalf should be disposed of; GunTab's decisions do not preclude either party from pursuing any other legal remedies.
    3. Grounds for Dsiputes.
      A User may file a dispute for any of the following reasons:
      • "Not Delivered": The counterparty or the counterparty's shipment carrier failed to deliver the Merchandise as instructed through GunTab.
      • "Not Provided Required Documents": The Seller or the Seller's Firearm Dealer failed to provide required paperwork as instructed through GunTab.
      • "Significantly Not As Described": The Merchandise inspected by the Buyer is materially different from what is described in the Invoice. Valid examples include: receiving a completely different item; the condition was inaccurately represented; the item was advertised as authentic but is not; the item is missing major undisclosed parts or features; the Buyer purchased multiple items but received fewer; the item was materially damaged during shipment. Invalid examples include: defects that were accurately described; the item was properly described but the Buyer changed their mind; the item met its description but did not meet the Buyer's expectations.
    4. Evidence.
      GunTab may request documentary evidence related to the Transaction in dispute, including shipping records, communication records, and detailed photographs of the item(s). The parties agree to promptly provide such evidence at GunTab's request.
    5. Decision.
      GunTab will issue a formal decision in the dispute within 30 days of collecting all necessary evidence.
    Cancellation of a Transaction

    1. User Cancellation.
      Users may not cancel a Transaction once a Seller has fulfilled the Merchandise according to the Instructions.
    2. GunTab Cancellation.
      GunTab may cancel a Transaction if any User involved in the Transaction fails to follow GunTab's Instructions, or at any time if the Transaction appears to violate these Terms or any applicable law.
    3. GunTab Cancellation.
      Should a User be unable or unwilling to satisfy their obligations in a Transaction, this User will bear the cost(s) of the Transaction in consideration for the services already rendered by GunTab and the reliance costs incurred by GunTab.
    4. Notice.
      If a Transaction cannot be completed for any reason, including cancellation by GunTab, GunTab will notify by email each User that is party to the Transaction, at the email address each has provided to GunTab.
    Fees and Funds Transfers
  13. Fees and Funds Transfers
    1. Service Fee.
      GunTab charges a service fee on each Transaction as disclosed on the GunTab website at https://www.guntab.com/pricing. Unless otherwise agreed with the Buyer through the Invoice, Seller agrees to pay GunTab's service fee.
    2. Convenience Fee.
      GunTab charges a convenience fee on each credit card Payment, as disclosed on the GunTab website at https://www.guntab.com/pricing. Unless otherwise agreed with the Buyer through the Invoice, Seller agrees to pay GunTab's convenience fee.
    3. Fee Changes.
      GunTab's fees may change over time at GunTab's sole and absolute discretion. Any changes in fees will appear on the GunTab website and on the Payment Confirmation Page. GunTab is not responsible for collection or payment of any taxes or levies imposed upon User as a consequence of utilizing these Services.
    4. Funds Transfer Procedures.
      GunTab may update its Funds Account options, processing and settlement times, transfer limits, and other operational procedures related to the collection and settlement of funds at any time by posting changes on the GunTab website. Such updates are effective upon posting and do not constitute amendments to these Terms or the Seller Agreement. It is the User's responsibility to review the current Funds Transfer procedures on the GunTab website prior to each Transaction.
    5. Non-Refundable.
      Once paid, GunTab fees are non-refundable, except as otherwise required by law.
    6. Financial Institution Limitations.
      Since the use of bank accounts, credit cards, debit cards, and other payment instruments, and the making of funds transfers with these instruments, may be limited by User's service agreement with User's financial institution and/or by applicable law, GunTab is not liable to any User if GunTab does not complete a Transaction as a result of any such limitation, or if a financial institution fails to honor any credit or debit to or from a Funds Account.
    7. Reimbursement of Fees.
      The User is responsible for reimbursing GunTab for any unexpected fees that GunTab may incur in attempting to conduct funds transfers using the payment account information the User provides, including fees incurred if User's account is expired, suspended, or otherwise unusable.
    8. Wrongful Chargeback.
      A wrongful Chargeback occurs when a party has used the Services after proposing or accepting an Invoice and later files a cancellation, reversal, or chargeback with their financial institution in order to recover funds it is no longer entitled to under these Terms. GunTab considers all wrongful Chargebacks as a breach of contract, a deliberate theft of any Merchandise or funds the User may have received, and a fraud perpetrated by the User. GunTab reserves the right to take a variety of actions, including but not limited to:
      1. Reporting the theft to the User's local police department.
      2. Reporting the theft to the receiving Firearm Dealer, to be reported to the Bureau of Alcohol, Tobacco and Firearms per 27 CFR § 478.39a.
      3. Filing legal action against the User for direct financial losses, subsequent damages, and punitive damages.
      4. Hiring a debt collection agency to pursue the return of the funds.
      5. Reporting the incident to one or more chargeback abuser database(s).
    9. Wrongful chargeback.
      User agrees to reimburse all costs that GunTab may incur as a result of their wrongful Chargeback, including but not limited to:
      • Payment processor chargeback fees.
      • Customer service representative time at a rate of $100/hr.
      • Litigation fees.
      • Arbitration fees.
    10. Additional Charges.
      GunTab is not liable to any User or third party for any additional charges incurred due to use of a Funds Account, including overdraft charges relating to inadequate funds in a Funds Account.
    Third Party Data
  14. Third Party Data
    1. If User arrives at GunTab through entities linked and/or integrated with GunTab or otherwise by or through a third party such as an internet marketplace, auction site, or other form of online exchange, then User authorizes any such third party to transfer relevant data to GunTab to facilitate User's Transaction. User represents and warrants that all information User provides to GunTab or to any such third party will be true, accurate, and complete.
    Integrated Partners
  15. Integrated Partners
    1. A company that GunTab considers to be in compliance with the Integrated Partner requirements is eligible to be classified as an Integrated Partner and receive Integrated Partner benefits, including service fee sharing of 10% of GunTab's service fee revenue on successful transactions associated with the company's website URL. Integrated Partners cannot also be Affiliate Partners, directly or through any intermediary. Integrated Partner requirements and Integrated Partner benefits may change at any time. An Integrated Partner may terminate their status as Integrated Partner at any time. Likewise, GunTab may terminate an Integrated Partner's status at any time. Termination of Integrated Partner status stops all Integrated Partner benefits immediately.
    Security

    1. Security Measures.
      GunTab uses a variety of security mechanisms to ensure User's confidentiality is maintained and personal data remains secured. All website traffic uses transport layer security (TLS) to encrypt and authenticate User's communications with GunTab and prevent outside parties from intercepting any such information. All payment information submitted to GunTab is transferred and stored via encrypted methods.
    2. Internal Protocols.
      GunTab has strict internal protocols designed to prevent any unauthorized party, including non-essential employees of GunTab, from accessing, retaining, or distributing User's personal information. GunTab does not transfer or sell any data about User's Transaction or any data that has not had all personal information stripped from it.
    3. User Responsibility.
      GunTab has implemented a security system requiring a User ID and a password to access User's Transactions on GunTab. User agrees not to give User's password to any other person or entity and to protect it from being used or discovered by any other party.
    4. Limitation.
      User hereby acknowledges that no information transmitted over the internet can ever be entirely secure. User agrees to indemnify GunTab, its agents, officers, shareholders, and subsidiaries against any loss, not to include criminal acts or gross negligence by GunTab.
    Data Collection and Sharing

  18. User agrees that GunTab may:

    1. Collect User Data including IP address.
    2. Obtain User Data including geolocation.
    3. Share User Data with third parties to which GunTab has delegated any rights and responsibilities, including the rights to perform risk analysis, etc. User agrees that GunTab must share User Data as lawfully required by warrant issued by a United States court of law.

    1. As-Is Basis.
      USER EXPRESSLY AGREES THAT USER'S USE OF THE SERVICES IS AT USER'S SOLE RISK. HE SERVICES ARE PROVIDED ON A STRICTLY "AS IS" AND "AS AVAILABLE" BASIS. GUNTAB MAKES NO WARRANTY WITH REGARD TO THE UNDERLYING TRANSACTION, ANY ITEMS OBTAINED BY USER THROUGH THE USE OF THE SITE OR THE SERVICES, THAT THE SERVICES WILL MEET USER'S REQUIREMENTS, OR THAT THE SERVICES OR THE SITE WILL BE UNINTERRUPTED, TIMELY, OR ERROR FREE.
    2. Compliance Disclaimer.
      User expressly agrees that use of the Services does not ensure compliance with federal, state, or local law, and that it is the User's responsibility to make all determinations regarding the legality of the User's Transactions, including whether the User is required to be licensed by the Bureau of Alcohol, Tobacco, Firearms and Explosives (ATF).
    3. Compliance Disclaimer.
      GUNTAB EXPRESSLY DISCLAIMS ANY AND ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. GUNTAB SHALL NOT BE LIABLE OR RESPONSIBLE FOR THOSE GUARANTEES, WARRANTIES, AND REPRESENTATIONS, IF ANY, OFFERED BY ANY SELLER OF MERCHANDISE. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY USER FROM GUNTAB OR THROUGH THE SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN.
    4. Third-Party Disclaimer.
      User acknowledges and agrees that GunTab does not endorse the website of any third party, or assume responsibility or liability for the accuracy of any material contained therein. In no event will GunTab be liable for any act or omission of any third party, including, but not limited to, User's financial institution, any payment system, any third-party service provider, any provider of telecommunications services, internet access or computer equipment or software, any mail or delivery service, or any payment or clearing house system, or for any circumstances beyond GunTab's control due to force majeure.
    5. Limitation of Liability.
      TO THE EXTENT PERMITTED BY APPLICABLE LAW, NEITHER GUNTAB NOR ITS AFFILIATES SHALL BE LIABLE FOR ANY DAMAGES IN EXCESS OF THE LESSER OF (i) THE TRANSACTION AMOUNT; OR (ii) $1,000.00. IN NO EVENT SHALL GUNTAB BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA.
    6. Indemnification.
      User agrees to indemnify, defend, and hold harmless GunTab, its affiliates, and their respective officers, directors, shareholders, employees, and agents from all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees and court costs), arising from or relating to (a) User's breach of these Terms, (b) User's violation of any applicable law or regulation, (c) any dispute regarding the nature, quality, legality, or description of Merchandise; (d) any claim by a Buyer or third party related to a Transaction; or (e) Seller's negligence, fraud, or willful misconduct.

      Seller further represents and warrants the veracity of all fulfillment of Merchandise made as the result of a Transaction and agrees to indemnify, defend, and reimburse GunTab in the event of a breach of this fulfillment commitment.
    Termination of Services
  20. Termination of Services
    1. Termination by GunTab.
      GunTab may suspend or terminate User's use of the Services at any time, without notice, for any reason, in GunTab's sole discretion. Except as warranted by risk to the security, privacy, or integrity of the Services, GunTab will attempt to provide User with prior notice by email, but GunTab is not obligated to do so.
    2. Surviving Obligations.
      User shall remain liable for all Transactions User initiates through the Services prior to such termination, and the performance of User's obligations, including but not limited to, the delivery of the Merchandise and the payment of all amounts User owes prior to termination.
    3. Collection Costs.
      User agrees to pay all costs and expenses (including reasonable attorneys' fees) that GunTab may incur in order to (a) collect any amounts User owes under these Terms and the Instructions, or (b) initiate an arbitration or judicial proceeding to resolve a dispute, as set forth in the Instructions.

    1. User may not assign these Terms or the Instructions to any other person or entity. User's right to use the Services shall not be sold or transferred without the prior written consent of GunTab. GunTab may assign these Terms upon notice to User. Any assignment or transfer in violation of this provision shall be null and void.

GunTab reserves the right to change these Terms, or any portion of them, at any time, without prior notice, provided that no such change will apply to a Transaction once the Users party to such Transaction have agreed to the Instructions. User understands that the most recent version of these Terms will be located on the GunTab website.

    1. Notices from GunTab to User will be given by email, or by general posting on GunTab. User may contact GunTab through any means described on the GunTab website at https://www.guntab.com/support.

  24. Miscellaneous
    1. Dispute Resolution.
      In the event of any dispute, claim, question, or disagreement arising from or relating to these Terms or to any Transaction, or breach of any of them, User agrees to resolve such dispute in the manner set forth in the Instructions.
    2. Governing Law.
      These Terms shall be governed by the laws of the State of Delaware. Any dispute shall be resolved pursuant to the dispute resolution and governing law/venue provisions of the Instructions. These Terms, in conjunction with the Seller Agreement (where applicable), the Instructions, and rules contained on GunTab, constitute the entire agreement between GunTab and User relating to the subject matter hereof and supersede all prior or contemporaneous understandings, agreements, communications, and/or advertising with respect to such subject matter.
    3. Priority of Terms.
      If there is a conflict between these Terms, the Seller Agreement, the rules contained on GunTab, and/or the Instructions, then the Seller Agreement shall control first with respect to its subject matter, the Instructions shall control second, these Terms shall control third, and the rules contained on GunTab shall control fourth.
    4. Waiver.
      GunTab's failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by GunTab in writing.
    5. Severability.
      If any term or other provision of these Terms is invalid, illegal, or incapable of being enforced by any law or strong public policy, all other terms and provisions shall nevertheless remain in full force and effect.
    6. Assignment.
      GunTab may assign these Terms to any current or future affiliated company and to any successor in interest. GunTab also may delegate certain of its rights and responsibilities under these Terms to independent contractors or other third parties.
    7. Independent Agreements.
      If User is a previous User of GunTab, then each use of the Services shall constitute an independent contract and assent to these Terms, as amended from time to time in GunTab's sole discretion, and evidence that User has read, understood, and accepted the then-applicable Terms.
